Terms & Conditions
These Terms & Conditions (the “Terms”) govern your access to and use of Mote, the project and business management software and related websites, applications, and services (together, the “Service”). The Service is owned and operated by Fig Works LLC (“Fig Works,” “we,” “us,” or “our”), a company operated in the United States. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1 Acceptance of these Terms
By creating an account, joining a waitlist, or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you are using the Service on behalf of a business or other organization, you represent that you are authorized to accept these Terms on its behalf, and “you” refers to that organization.
2 Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements and that the information you provide to us is accurate and complete.
3 Your account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to safeguard your credentials.
4 Acceptable use
You agree not to, and not to permit any third party to:
- use the Service in violation of any applicable law, regulation, or third-party right;
- upload or transmit content that is unlawful, infringing, harmful, or that you do not have the right to share;
- attempt to gain unauthorized access to the Service, other accounts, or our systems or networks;
- interfere with or disrupt the integrity or performance of the Service;
- reverse engineer, decompile, or attempt to derive the source code of the Service, except as permitted by law; or
- use the Service to build a competing product or to resell it without our written permission.
5 Your data & privacy
You retain all ownership rights in the data, files, and content you submit to the Service (“Customer Data”). You grant us a limited license to host, process, and use Customer Data solely to provide, maintain, secure, and improve the Service, and as otherwise described in our Privacy Policy.
We do not sell your information. Fig Works does not sell, rent, or trade Customer Data or personal information to third parties. We share data only with service providers who help us operate the Service, or where required by law.
Operated in the United States. The Service is operated from and hosted in the United States. By using the Service, you understand that your information will be processed in the United States.
Our handling of personal information is governed by our Privacy Policy. We maintain commercially reasonable administrative, technical, and physical safeguards designed to protect Customer Data, and we comply with applicable United States privacy laws.
6 Intellectual property
The Service, including its software, design, text, graphics, logos, and the “Mote” and “Fig Works” names and marks, is owned by Fig Works LLC or its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you in these Terms, we reserve all rights, title, and interest in and to the Service. You may not use our names, logos, or trademarks without our prior written consent.
7 Third-party services
The Service may integrate with or link to third-party products and services that we do not control. Your use of those third-party services is governed by their own terms and privacy policies, and we are not responsible for them. We do not endorse and are not liable for any third-party content or services.
8 Fees & subscriptions
Certain features of the Service may be offered on a paid or subscription basis. Where fees apply, they will be described at the point of purchase. Unless otherwise stated, fees are quoted in U.S. dollars and are non-refundable except as required by law. We may change our fees on reasonable notice, effective as of your next billing cycle.
9 Disclaimers
The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Fig Works disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your requirements.
10 Limitation of liability
To the fullest extent permitted by law, Fig Works LLC and its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service. Our total aggregate liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of the amounts you paid to us for the Service in the twelve (12) months preceding the claim, or one hundred U.S. dollars ($100).
11 Indemnification
You agree to indemnify and hold harmless Fig Works LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your Customer Data, or your violation of these Terms.
12 Termination
You may stop using the Service at any time. We may suspend or terminate your access to the Service, with or without notice, if you violate these Terms or if we reasonably believe your use poses a risk to us, the Service, or others. Upon termination, the rights granted to you under these Terms will cease, though any provisions that by their nature should survive termination will survive.
13 Governing law
These Terms are governed by the laws of the United States and the Commonwealth of Massachusetts, without regard to conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in the Commonwealth of Massachusetts.
14 Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
